Introduction

​These Terms & Conditions constitute a legally binding agreement between Prosys (“Provider”) and the Client (“Company” or “User”) when accessing or using the website prosys-sa.com the Sudad HR application, or the Rotab  application. By using these services, you fully accept these Terms.

1. Definitions

• Provider: Prosys, the owner of all services.

• Client: The company subscribing to Sudd or Rotab.

• User: Any authorized individual using the services on behalf of the Client.

• Services: The website, Sudd app, Rotab app, and all related solutions.

• Content: Any data or files uploaded by the Client or Users.

• Subscription: The paid service plan chosen by the Client.

2. Scope of Services

1. Sudad provides HR management and payroll tools.

2. Rotab provides delegate and delivery task management.

3. Prosys website provides informational and support services.

4. Provider may improve or modify the services without affecting core functionality.

3. Eligibility

1. Users must be authorized company representatives.

2. Services may not be used for illegal activities or in violation of Saudi law.

3. Misuse, hacking attempts, or unauthorized access are strictly prohibited.

4. Accounts & Access

1. Client is responsible for managing Users and permissions.

2. Login credentials may not be shared with unauthorized parties.

3. Provider is not responsible for damages resulting from credential misuse.

5. Fees & Payment

1. Services are billed monthly or annually.

2. Client must pay all fees on time.

3. Provider may suspend access for non-payment.

4. Fees are non-refundable unless stated otherwise in the contract.

6. Data & Confidentiality

1. All Client data remains the exclusive property of the Client.

2. The Provider processes data on behalf of the Client under PDPL.

3. Provider maintains strict confidentiality and does not share data except as legally required.

4. Client is responsible for obtaining consent from employees and delegates.

7. Intellectual Property

1. All rights to Sudd, Rotab, and Prosys remain owned by the Provider.

2. No copying, reselling, or distribution is allowed without permission.

3. Client receives a non-exclusive license to use the service.

8. Limitation of Liability

1. Services are provided “as-is” and “as available.”

2. Provider is not liable for:

   • Data entered incorrectly by the Client

   • Misuse or unauthorized access

   • Internet outages or third-party failures

   • Data loss due to client-side errors

3. Maximum liability is limited to the last month's subscription fees.

9. Technical Support

1. Support is provided via email and chat.

2. Custom development is excluded unless separately contracted.

3. Provider may specify support hours.

10. Termination

1. Either party may terminate with prior written notice.

2. Client may request a data export within 30 days after termination.

3. Provider may delete the data afterward.

11. Amendments

Provider may update these Terms, and Clients will be notified of major changes.

12. Governing Law

These Terms are governed by the laws of the Kingdom of Saudi Arabia.
